Nexus Player University Affiliate-Partner Agreement

Scope

Nexus Player University (NPU) provides ACE-recommended courses for college credit, offering unique degree pathways through its digital platform and strategic partnerships in higher education. This Agreement establishes a collaboration where the Affiliate will:

• Promote NPU and its programs through strategic marketing initiatives, including online channels, email campaigns, and other approved methods.

• Drive enrollment conversions (defined as completed enrollments of NPU products).

• Expand NPU’s customer base through effective outreach and engagement within affiliates organization.

Compensation Structure

NPU will compensate the Affiliate for successful enrollment conversions based on the following program tiers:

• NPU-30: Program cost: $2,925. Affiliate will receive a 7% flat fee ($204.75 per conversion).

• NPU-60: Program cost: $5,875. Affiliate will receive a 15% flat fee ($881.25 per conversion).

• NPU-90: Program cost: $6,965. Affiliate will receive a 23% flat fee ($1,601.95 per conversion).

Performance Bonuses

• Top Enroller Reward: Each year, the Affiliate Partner's top enroller with the highest enrollments across all NPU programs (minimum of 4 enrollments) will receive a 7-day vacation as a bonus. 

• Additional performance incentives may be offered at NPU’s discretion based on milestones achieved or special campaigns.

Affiliate Obligations

The Affiliate agrees to:

• Accurately represent NPU’s programs and services.

• Utilize only approved marketing materials provided by NPU, or in collaboration.

• Comply with all applicable advertising laws and ethical practices.

• Avoid false claims or misrepresentation of NPU’s products.

Affiliate Payment Policy

• Payments will be issued within 30-45 days of a verified conversion.

• All payments will be made via the payment method agreed upon during onboarding.

• Affiliates are responsible for providing accurate payment information.

Termination

Either party may terminate this Agreement with 30 days’ written notice. NPU reserves the right to terminate immediately in cases of unethical practices, misrepresentation, or breach of terms.

Confidentiality

The Affiliate agrees to maintain the confidentiality of all non-public information regarding NPU’s business, customers, and operations, both during and after the term of this Agreement.

Tracking and Reporting

NPU will provide comprehensive tracking tools to monitor affiliate performance and conversions. Affiliates will have access to detailed, real-time reporting to track progress and earnings.

Non-Compete Clause

• Commitment Not to Compete
  While this Agreement is active, and for 6 months after it ends, the Affiliate agrees not to promote or work with products or services that directly compete with the Company’s offerings.

• What Counts as Competition
  The Affiliate agrees not to:

  • Promote or advertise products or services similar to the Company’s.

  • Partner with or represent businesses that offer competing products or services in the same market.

• Flexibility
  If the Affiliate wants to engage in activities that might overlap, they can reach out to the Company for approval. The Company will consider these requests fairly.

• Reasonable Expectations
  This clause is meant to protect both parties’ interests while ensuring the Affiliate can continue to work within their expertise.

General Provisions

• Independent Contractors: The Affiliate and NPU are independent contractors. Nothing in this Agreement shall be construed as creating a partnership, joint venture, or employment relationship.

• Governing Law: This Agreement will be governed by and interpreted in accordance with the laws of California/United States.

• Entire Agreement: This Agreement constitutes the full understanding between the parties and supersedes any prior agreements or understandings.
